Terms of Service
1. Agreement to Terms
By engaging Cornerstone Media Productions LLC ("Company," "we," "us") for film, video, post-production, or related creative services ("Services"), you ("Client") agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and the Company.
2. Provision of Services
The scope of Services—including deliverables (such as edited masters, project files where agreed), timelines, usage rights, and production details—will be outlined in a separate statement of work, production agreement, or estimate accepted by both parties. The Company agrees to perform the Services with professional skill and care. The Client agrees to provide timely access to locations, talent clearances, brand assets, feedback, and other materials reasonably required for the Company to perform the Services.
3. Timelines and Delays
The Company will make reasonable efforts to meet schedules agreed in writing. Dates are estimates and may be affected by weather, location access, third-party approvals, or the Client’s delay in providing feedback, assets, or sign-off. The Company is not liable for delays caused by Client-side dependencies or factors outside its reasonable control.
4. Payment Terms
Fees, deposits, milestones, billing cycles, and payment methods will be specified in the applicable agreement or invoice. Services may require a deposit or advance payment before production or post-production begins. Unless otherwise stated, amounts are due upon receipt of invoice. Late payment may result in suspension of work or withholding of deliverables until accounts are current.
5. Intellectual Property
Upon receipt of full payment for the applicable Services, the Client receives the usage rights to final deliverables as defined in the agreement (for example, finished video masters for agreed channels and term). The Company retains ownership of its pre-existing tools, templates, methods, and proprietary workflows. Raw footage, project files, and working materials may be retained or delivered only as specified in writing; additional fees may apply for extended licensing, file delivery, or archive access.
6. Confidentiality
Both parties agree to treat non-public information received from the other as confidential, including business plans, unreleased creative, and production schedules. This obligation survives termination of the agreement, subject to legal requirements and professional standards.
7. Limitation of Liability
While the Company strives for excellent creative and technical results, it does not guarantee specific audience reach, sales, awards, or platform performance. Distribution algorithms, viewer behavior, and third-party platforms are outside the Company’s control. To the fullest extent permitted by law, Cornerstone Media Productions LLC is not liable for indirect, incidental, special, or consequential damages arising from the Services.
8. Termination
Either party may terminate an engagement as set forth in the applicable agreement. Upon termination, the Client remains responsible for fees for work completed, costs already incurred, and any non-refundable deposits stated in the agreement. The Company will cooperate in an orderly handoff of agreed materials, subject to payment and contract terms.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict-of-law principles, except where preempted by applicable federal law.
